Welcome to QuantumCX. These Terms & Conditions (“Terms”) govern your use of our website, services, and any related products or deliverables.

By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, you should not use our services.


Company Information

QuantumCX operates as a digital services provider based in India, serving clients globally, including the United States.

All services are provided remotely unless otherwise agreed in writing.


Scope of Services

QuantumCX provides services including, but not limited to:

  • AI automation systems

  • Website design and development

  • Workflow integrations

  • Consulting and digital strategy

Each project is governed by a defined scope, agreed upon before work begins. Any additional work outside scope may be billed separately.


Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information

  • Respond promptly to communication and approvals

  • Ensure you have the legal rights to any materials you provide

Delays caused by the client may affect delivery timelines and do not constitute a breach by QuantumCX.


Fees, Payments & Currency

  • All fees will be communicated prior to engagement

  • Payments may be required upfront or in agreed milestones

  • Unless otherwise stated, fees are non-refundable once work has commenced

For international clients (including the United States):

  • Payments may be processed in USD or INR, as agreed

  • You are responsible for any transaction fees, currency conversion charges, or taxes applicable in your jurisdiction

Failure to make payments may result in suspension or termination of services.


Intellectual Property

All work, systems, and deliverables remain the property of QuantumCX until full payment is received.

Upon full payment:

  • Clients receive a non-exclusive, non-transferable license to use the deliverables

  • QuantumCX retains the right to display work for portfolio and marketing purposes unless otherwise agreed in writing

You may not resell, sublicense, or redistribute our work without explicit permission.


Third-Party Tools & Integrations

Our services may involve third-party platforms (e.g., payment gateways, automation tools, APIs).

QuantumCX is not responsible for:

  • Service outages or failures from third-party providers

  • Policy, pricing, or functionality changes by these providers

Clients are responsible for maintaining their own accounts and subscriptions where required.


Limitation of Liability

To the fullest extent permitted by law:

QuantumCX shall not be liable for:

  • Any indirect, incidental, or consequential damages

  • Loss of profits, revenue, data, or business opportunities

  • Any outcomes resulting from the use or misuse of our services

Our total liability, under any circumstance, shall not exceed the amount paid by the client for the specific service.


9Indemnification

You agree to indemnify and hold harmless QuantumCX from any claims, damages, liabilities, or expenses arising from:

  • Your use of our services

  • Your violation of these Terms

  • Any third-party claims related to materials or data you provide


Confidentiality

Both parties agree to maintain confidentiality of any sensitive or proprietary information shared during the course of the engagement.

This obligation survives termination of services.


Termination

QuantumCX reserves the right to suspend or terminate services if:

  • These Terms are violated

  • Payments are not made

  • There is misuse of services

Clients may terminate services at any time; however, payment for completed or in-progress work remains due.


Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

  • Any disputes shall be subject to the exclusive jurisdiction of courts located in [your city, e.g., Kolkata, West Bengal]

  • For international clients (including the United States), you agree to submit to this jurisdiction


Dispute Resolution

Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.

If unresolved, disputes may be referred to arbitration in India, in accordance with applicable laws.


Force Majeure

QuantumCX shall not be held liable for delays or failure to perform due to events beyond reasonable control, including but not limited to:

  • Natural disasters

  • Internet outages

  • Government actions

  • Platform or infrastructure failures


Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our services constitutes acceptance of the revised Terms.
